Each acknowledgement is a AcknowledgementSlug. When a slug appears in a token's AgentPolicy.standing_acknowledgements[], the principal pre-affirms the canonical text below for any in-scope action that requires it. When a slug appears in an action's acknowledgements[] array at request time, the actor (human or agent) affirms the canonical text below for that single action.

The canonical text is what is hashed and stored on the audit log. The version is what pins the text. Texts are versioned with calendar dates.

agent_action_binds_principal

I understand that an autonomous agent acting under a token I have issued, within the scope I have defined, binds me legally under the Uniform Electronic Transactions Act §14. Signatures, filings, and contractual commitments performed by the agent are attributed to me as if I performed them myself.

tier_4_standing_authority_acknowledged

I am issuing a tier-4 token with standing authority. The agent holding this token may execute actions in the allowed scope without further per-action human review. I have reviewed the allowed actions, the entity scope, and the standing acknowledgements, and I accept the binding consequences of every action this token authorizes.

incorporator_signature_authorized

I authorize the agent holding this token to sign the Certificate of Incorporation as my electronic agent under UETA §14. I remain the natural-person incorporator on the filed certificate. I accept legal responsibility for the certificate as filed.

formation_is_legally_binding

I understand that filing a Certificate of Incorporation creates a legally binding entity. The entity carries ongoing obligations including but not limited to franchise tax, annual reports, registered-agent maintenance, and federal tax filings. Failure to discharge these obligations carries financial and legal consequences for which I am responsible.

formation_creates_tax_obligations

I understand that forming a Delaware C-Corporation creates federal income tax obligations (Form 1120, quarterly estimated payments) and Delaware franchise tax obligations (annual minimum, due March 1). I am responsible for filing or engaging a tax professional to file on time.

83b_election_strict_30_day_deadline

I understand that an 83(b) election must be postmarked to the IRS within 30 days of the property transfer. The deadline is strict and cannot be extended. Missing this deadline cannot be cured. I accept the tax consequences of an unfiled or late-filed 83(b) election.

equity_grant_is_securities_issuance

I understand that issuing equity — common stock, preferred stock, options, or any other equity instrument — is a securities issuance subject to federal and state securities law. I am responsible for confirming an applicable exemption, making any required Form D filing, making any required state blue-sky filings, and complying with §409A on grant pricing.

dissolution_is_irreversible

I understand that filing a Certificate of Dissolution begins an irreversible wind-down. Once dissolved, the entity cannot be revived under Delaware law except through a separate revival proceeding within strict statutory limits. I accept that all entity operations cease, all bank accounts must be closed, and all final tax filings must be made.

service_of_process_must_reach_human

I understand that Matter's registered-agent service forwards service of process to a named human contact at the entity. I am responsible for keeping the named human contact and the contact's address current. Failure to receive service of process does not invalidate the service.

late_filing_penalty_accepted

I am proceeding with a filing past its statutory deadline. I accept all penalties, interest, and reinstatement fees the filing authority assesses, and I accept that the entity may be in a non-compliant status until the filing is accepted and the penalties are paid.
